CE Brands Reports First Quarter 2025 Financial Results, Provides Operational Highlights, and Announces Notice of Meeting & Record Date

Calgary, Alberta, Canada – August 22nd, 2024 - CE Brands Inc. (TSXV: CEBI) (“CE Brands”, “we”, “our”, or the “Company”), a data-driven consumer-electronics company, today announced its financial results for the three months ended June 30, 2024 (“Q1 2025”). The related financial statements and accompanying notes, and Management’s Discussion and Analysis for Q1 2025 (“MD&A”) are available on SEDAR+ at www.sedarplus.ca and on the CE Brands’ website at www.cebrands.ca. 

All dollar amounts in this press release are expressed in the Canadian dollars. 

FIRST QUARTER 2025 FINANCIAL RESULTS: 

Q1 2025 Highlights 

  • Operating cash flows were approximately $nil, or break even, for the three months ended June 30, 2024, an improvement of $0.66 million over the comparative period. The improvement was on account of reduced overheads and favourable changes in working capital, specifically the conversion of accounts receivable into cash. 
  • Revenue increased by $0.12 million, reflecting an increase of 10% in the three month period ended June 30, 2024 as compared to the corresponding period in the prior year. The increase can be attributed to the increased business to business (“B2B”) sales of Moto 70 and Moto 40 in the first fiscal quarter of 2025. 
  • The gross profit for the three months ended June 30, 2024 was $0.51 million as compared to $0.54 million for the three month period ended June 30, 2023. The higher gross profit in Q1 2024 was primarily due to the sale of inventory items previously written off in fiscal 2023. 
  • There was a net loss of approximately $0.54 million for the three month period ended June 30, 2024, which represents a decrease of 106% compared to the net income of $8.67 million for the corresponding period in fiscal 2024. The net income in the three month period ended June 30, 2023 was due to the gain on deconsolidation of EBN and its subsidiaries of $10.62 million.

Outlook 

During the three months ended June 30, 2024 the Company generated higher B2B sales. In this fiscal year, management plans to focus on the growth of Motorola product sales. The Company anticipates that it will require additional financing to address the Company’s working capital needs and support the Company’s future product launches and sales. Selected Financial Information 

The Company’s June 30, 2024 and 2023 balance sheet and three month ended June 30, 2024 figures reflect the balances of CE Brands Inc. and its wholly-owned subsidiary, CE Brands International Inc. The comparative period figures reflect the balances of CE Brands and its wholly-owned subsidiary, eBuyNow eCommerce Ltd. (“EBN”). On July 27,2023, EBN made a voluntary assignment into bankruptcy, at which time the assets and liabilities of EBN were deconsolidated from the books of CE Brands Inc. 

OPERATIONAL HIGHLIGHTS 

Operational Efficiency and Path to Profitability 

Over the past year, we have implemented a comprehensive cost-reduction strategy, significantly lowering our overheads. As a result, we are now operationally close to breakeven, and see a clear and near-term path to profitability. 

Brick-and-Mortar Retail Success 

Over the last seven months ended June 30, 2024, following last year's corporate restructuring and signing of the Motorola brand licensing agreement, we have re-established traction with brick-and-mortar retailers. This marks a pivotal milestone for our Company where the foundation has been laid with key retail and distribution partners across North and South America for future growth. 

Key Retail and Telco Partnerships 

The Company has secured full product range listings with leading retailers such as Best Buy, Boost Mobile, and several other key electronics retailers across the Americas. Additionally, we are making significant strides in the prepaid mobile carrier space, with growing momentum in partnerships with Telus’ Mobile Klinik Divisions, Boost Mobile, Cricket Wireless, and Claro Cellular, among others. 

Focus on Multi-Year Distribution and Retail Placements 

Our primary focus moving forward is on securing multi-year distribution and retail placements. By prioritising these long-term partnerships over direct-to-consumer sales, we aim to ensure that our significant sales efforts yield sustained results quarter over quarter, rather than pursuing smaller, short-term wins in the B2C space.

Strategic Pricing Alignment 

Our recent shift in pricing strategy to focus on the sub US$199 market for smartwatches, now better aligns with Motorola’s core consumer demographics, resulting in an uptick in sales volume. We are witnessing substantial traction with cellular telcos across North and South America, where Motorola already enjoys a strong market presence, selling tens of millions of handsets each year. 

Ambitious Attachment Rate Goals 

One of our key objectives is to achieve a 4% attachment rate of smartwatches to handsets. 

Expanding Our Footprint 

We have successfully listed our full product line with major Canadian retailers and in many markets across Latin America. Our next strategic step is to expand our footprint in the USA, where we see immense potential for growth and plans to be in store in major retailers by the end of the year. 

With our strengthened retail presence through key distributors, strategic pricing, and operational efficiency, we believe CE Brands is well-positioned to capitalise on the growing demand for smartwatches and continue our trajectory of success.
